一项特定的交易是在企业内部进行还是通过市场或通过长期合同来完成，为什么具有重要性？换句话说，给定任意两家企业A和B，它们是通过正常合同（arms-length）来进行交易，还是合并成为一个单独的企业，会有些什么不同？
利用标准理论来回答这些问题，已被证明十分困难，原因同样是难以解释资产所有权为什么起着重要作用。如果签约成本为零，企业A和B就可以拟订一份规范它们关系的合同，明确规定在所有可能的情况下各方的责任。既然合同是包罗一切的，那么两者关系中还有哪些方面可以通过兼并来控制就不清楚了。的确，企业A和B要么是垂直关系——企业A从企业B购买投入——要么是水平关系或横向关系，比如，企业A和B相互出售互补产品，以图节约一些重复生产成本。
然而，一旦人们意识到，合同是不完全的，那么就可解释为什么兼并是合意的了。考虑费舍公司这个著名的例子，该公司多年来一直为通用汽车公司提供轿车车身。长时期里，费舍公司与通用公司是靠长期合同来联结的两家独立的企业。但是，在20世纪20年代，通用公司对车身的需求量大幅度增加。在费舍·鲍迪公司拒绝修改确定价格的公式之后，通用公司就买下了费舍公司的全部产权。
通用与费舍公司为什么不再签订一份更好的合同呢？可以这么说，通用公司意识到了无论它与费舍公司签订多么好的合同，类似于它刚刚经历过的那种情况仍然可能再次发生；也就是说，可能会发生任何合同都难以考虑到的不测事件。通用公司想要确保自己下一次处于更为有利的谈判地位；特别是，它可以坚持要求额外的供应。
