《如何开公司（实用操作版）》：
第三节公司章程可以自由约定的事项我国的新《公司法》赋予了公司更高的自治权利，增强了公司的灵活性，这主要体现在公司章程的制定上。经过修订后的《公司法》规定一个公司所制定的公司章程中的某些事项可以由公司内部的相关人员自由约定，国家法律并没有严格的规定。那么，公司章程中可以自由约定的事项具体有哪些呢?1.非股东监事的具体比例《公司法》第五十一条第二款规定：“监事会应当包括股东代表和适当比例的公司职工代表，其中职工代表的比例不得低于三分之一，具体比例由公司章程规定。监事会中的职工代表由公司职工通过职工代表大会、职工大会或者其他形式民主选举产生。”这里所提到的监事会中的“公司职工代表”就是指非股东监事。
2.公司具体的经营范围《公司法》第十二条第一款规定：“公司的经营范围由公司章程规定，并依法登记。公司可以修改公司章程，改变经营范围，但是应当办理变更登记。”3.承办公司审计业务的会计师事务所的聘用和解聘《公司法》第一百六十九条规定：“公司聘用、解聘承办公司审计业务的会计师事务所，依照公司章程的规定，由股东会、股东大会或者董事会决定。公司股东会、股东大会或者董事会就解聘会计师事务所进行表决时，应当允许会计师事务所陈述意见。”4.公司的法定代表人可由章程约定的经理、董事长或执行董事担任《公司法》第十三条规定：“公司法定代表人依照公司章程的规定，由董事长、执行董事或者经理担任，并依法登记。公司法定代表人变更，应当办理变更登记。”5.对股份公司董事、监事、高级管理人员转让其所持公司股份的行为做出限制性规定《公司法》第一百四十一条规定：“发起人持有的本公司股份，自公司成立之日起一年内不得转让。
公司公开发行股份前已发行的股份，自公司股票在证券交易所上市交易之日起一年内不得转让。公司董事、监事、高级管理人员应当向公司申报所持有的本公司的股份及其变动情况，在任职期间每年转让的股份不得超过其所持有本公司股份总数的百分之二十五；所持本公司股份自公司股票上市交易之日起一年内不得转让。上述人员离职后半年内，不得转让其所持有的本公司股份。公司章程可以对公司董事、监事、高级管理人员转让其所持有的本公司股份做出其他限制性规定。”6.以董事会、股东会决议决定公司向其他企业投资或者为他人担保的行为以及投资或担保总额以及单笔数额《公司法》第十六条规定：“公司向其他企业投资或者为他人提供担保，依照公司章程的规定，由董事会或者股东会、股东大会决议；公司章程对投资或者担保的总额及单项投资或者担保的数额有限额规定的，不得超过规定的限额。公司为公司股东或者实际控制人提供担保的，必须经股东会或者股东大会决议。前款规定的股东或者受前款规定的实际控制人支配的股东，不得参加前款规定事项的表决。该项表决由出席会议的其他股东所持表决权的过半数通过。”
